Terms of Service
The agreement between PackaPack Studio Co., Ltd. and you (the client) for design, prototyping, and packaging production work delivered by the studio.
Acceptance of these Terms
By signing a Statement of Work ("SOW"), approving a quote, paying a deposit, or otherwise instructing PackaPack to begin work, you ("Client") agree to be bound by these Terms of Service together with the relevant SOW. If you are entering into this agreement on behalf of a company, you confirm that you are authorised to do so.
Where a separate signed Master Services Agreement exists between you and PackaPack, that agreement prevails over these Terms to the extent of any conflict.
Services we provide
PackaPack provides packaging-related professional services, which may include:
- Brand systems, art direction, and graphic design.
- Structural design, dieline engineering, and prototyping.
- Material sourcing, sustainability consultancy, and supplier coordination.
- Print production management, quality assurance, and on-press attendance.
- Unboxing experience design, premium inserts, and post-purchase touchpoints.
Each engagement is scoped by an SOW that specifies deliverables, timeline, fees, and assumptions. Anything outside that scope is a Change Request and may carry additional fees.
Engagement & quotes
Quotes are valid for 30 calendar days unless stated otherwise. Material prices, freight, and currency fluctuations may cause us to revise a quote before signature; we will tell you in writing.
Production-line quotes assume the brief, artwork, and substrate specifications received at the time of quoting. Subsequent changes that affect cost (run size, paper grade, finishing, region of delivery) may revise the quote.

Invoices are payable within 14 days of issue by bank transfer in THB. Late payment incurs interest of 1.5% per month, accrued daily, plus reasonable collection costs. We may suspend work on overdue accounts.
All fees are exclusive of VAT (7% in Thailand), withholding tax, customs duties, and freight, which are the Client's responsibility unless explicitly included in the SOW.
Intellectual property
Your assets. You retain all rights in materials you supply to us (brand marks, photography, copy, fonts). You grant us a non-exclusive licence to use them for the purpose of performing the work.
Final deliverables. Once final payment is received, ownership in the design deliverables specified in the SOW transfers to you for the agreed territory and media. Source files (working AI/PSD/CAD layers) remain ours unless the SOW says otherwise.
Studio toolkit. Our pre-existing components, processes, templates, mock-up libraries, and methodologies stay our property.
Portfolio rights. We may show the finished work in our portfolio, case studies, social posts, and press, and submit it to design awards, unless you have a confidentiality embargo in writing.
Samples & approvals
Production begins only after written approval of a final dieline, artwork PDF, and where applicable a physical proof. We highlight risk areas (overprint, knockout, registration tolerances) in writing; approval is your acknowledgement of those risks.
Reasonable colour variation between digital proofs, screen, and offset/flexo print is inherent to the process. We work to within ΔE ≤ 3 on a calibrated proof unless a more stringent tolerance is agreed.
Delivery, risk, & freight
Unless agreed otherwise, deliveries are Ex Works (EXW Incoterms 2020) from our nominated printer. Title and risk pass when goods are made available for collection. We can arrange freight and customs on your behalf at cost plus a coordination fee.
Estimated lead times are working-day estimates from artwork approval. They exclude force-majeure events: port congestion, public holidays in source countries, paper shortages, machine breakdowns at the printer.
Warranties
We warrant that our services will be performed with the reasonable skill and care expected of a competent packaging studio. We do not warrant that our designs will achieve any specific commercial outcome.
Production warranties (substrate, finishes, durability) are pass-through warranties from our printer or material supplier; we will assist you in claiming them. Quality complaints must be raised within 14 days of receipt, supported by photographs and sample units.
Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, special, consequential, or punitive damages, lost profits, lost revenue, or loss of goodwill, even if advised of the possibility.
Our aggregate liability for any claim arising out of or relating to an SOW is limited to the fees paid by you under that SOW in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms limits liability for fraud, gross negligence, or anything that cannot be excluded by Thai law.
Confidentiality
Each party will protect the other's Confidential Information with the same care it uses for its own, but no less than reasonable care. Confidential Information excludes information that is public through no fault of the receiving party, was independently developed, or is required to be disclosed by law (with notice where possible). This clause survives termination for three (3) years.
Termination
Either party may terminate an SOW for material breach not cured within 14 days of written notice. The Client may terminate for convenience at any time; in that case the Client pays for all work completed up to the termination date plus any non-cancellable third-party commitments (paper, plates, press time).
Upon termination we will hand over completed deliverables and a list of pending items, subject to receipt of outstanding payments.
Governing law & disputes
These Terms are governed by the laws of the Kingdom of Thailand without regard to its conflict-of-laws principles. The parties will attempt good-faith negotiation for 30 days before commencing proceedings. Any unresolved dispute is subject to the exclusive jurisdiction of the Thai courts in Bangkok. The English text of these Terms prevails over any translation.
Miscellaneous
- Entire agreement. These Terms plus the signed SOW are the entire agreement and supersede prior discussions.
- No waiver. Failure to enforce a right is not a waiver of it.
- Severability. If any provision is held invalid, the rest stays in force.
- Assignment. Neither party may assign without the other's consent, except to a successor in a merger or sale of business.
- Notices. Notices must be in writing and sent to the email or address on the SOW.
